1. Service Description

Excel Risk Check ("the Service") provides automated spreadsheet risk analysis. The Service examines Excel files (.xlsx, .xlsm, .xls) and returns a deterministic risk score with categorized findings including formula errors, structural issues, data quality problems, and reference validation.

Key characteristics:

  • Analysis is performed by code, not AI—results are deterministic and reproducible
  • The same file will always produce the same risk score
  • The Service identifies potential issues but does not modify your files
  • Results are advisory and do not constitute professional audit or financial advice

2. Pricing

Free Analysis

Risk analysis is provided free of charge with no signup required. Free usage includes:

  • Full risk scoring and category breakdown
  • Issue detection across all analysis categories
  • No daily limits for reasonable personal use

PDF Reports ($5 per report)

Downloadable PDF reports with executive summaries and detailed findings are available for $5 per report. This is a one-time payment with no subscription required. Reports include:

  • Executive summary suitable for stakeholder review
  • Complete issue listing with locations and remediation guidance
  • Category-by-category risk breakdown
  • Documentation suitable for audit trails

API Access

API access is available with tiered rate limits:

  • Free tier: 20 requests/hour, 10MB file limit
  • Pro tier: 100 requests/hour, 20MB file limit
  • Enterprise tier: 1,000 requests/hour, 50MB file limit

3. Acceptable Use

You agree to use the Service only for lawful purposes. You may not:

  • Upload files containing malware or malicious code
  • Attempt to circumvent rate limits or access controls
  • Use automated tools to overwhelm the Service (denial of service)
  • Reverse engineer the analysis engine
  • Resell access to the Service without authorization
  • Upload files you do not have the right to analyze

4. File Requirements

The Service accepts Excel files with the following constraints:

  • Formats: .xlsx, .xlsm, .xls
  • Maximum size: Varies by tier (10MB–50MB)
  • Processing timeout: 60 seconds per file

Files that exceed size limits, contain unsupported formats, or require excessive processing time will be rejected with an appropriate error message.

5. API Keys

If you are issued an API key:

  • You are responsible for keeping your API key secure
  • Do not share your API key or embed it in client-side code
  • You are responsible for all usage under your API key
  • Report compromised keys immediately to support@excelriskcheck.com
  • We may revoke keys that are misused or compromised

6. Limitations of the Service

Excel Risk Check is a risk identification tool, not a guarantee of spreadsheet correctness.

  • Not a substitute for human review: The Service identifies common issues but cannot catch all possible errors. Critical spreadsheets should still undergo appropriate human review.
  • No business logic validation: The Service checks technical correctness (formula syntax, references, structure) but cannot validate whether your business logic is correct.
  • No financial advice: Risk scores and findings are technical assessments, not financial, legal, or audit opinions.
  • Point-in-time analysis: Results reflect the file as uploaded. Subsequent changes to the file require re-analysis.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that:

  • The Service will be uninterrupted or error-free
  • All spreadsheet issues will be detected
  • The Service will meet your specific requirements
  • Results will be suitable for any particular purpose

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL EXCEL RISK CHECK, ITS OPERATORS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits, revenue, or data
  • Business interruption
  • Decisions made based on Service results
  • Errors or issues not detected by the Service

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $50, WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify and hold harmless Excel Risk Check and its operators from any claims, damages, or expenses (including reasonable legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Files you upload to the Service

10. Intellectual Property

Your files: You retain all rights to files you upload. We claim no ownership of your spreadsheets or their contents.

Our service: The analysis engine, scoring algorithms, risk templates, and related intellectual property remain the property of Excel Risk Check. You may not copy, modify, or create derivative works from our technology.

Analysis results: You may use analysis results and PDF reports for your internal business purposes, including sharing with stakeholders and auditors.

11. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted service. We may:

  • Perform maintenance with or without notice
  • Modify features or functionality
  • Discontinue the Service with reasonable notice

12. Termination

We may suspend or terminate your access to the Service if you violate these Terms or engage in activity that harms the Service or other users. You may stop using the Service at any time.

13. Changes to Terms

We may modify these Terms at any time. Material changes will be indicated by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in effect.
